1. Introduction and Agreement
These Terms of Service ("Terms") govern your use of Zelicra Warden ("the Service"), provided by Zelicra ("we", "us", "our"). By registering for an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
2. Service Description
Zelicra Warden is a digital notice board and compliance management tool designed for UK care homes. The Service enables care home managers to create and distribute notices to staff, track acknowledgments, generate compliance reports, and maintain audit trails for regulatory purposes.
3. Registration and Accounts
- You must be at least 18 years of age to create an account
- Each person must maintain only one account
- You must provide accurate and complete registration information
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately of any unauthorised use of your account
4. Free Trial
New accounts receive a 14-day free trial with access to all features. No payment information is required during the trial period. At the end of the trial, you may choose a subscription plan to continue using the Service.
5. Subscription Plans
The Service is available under the following monthly subscription plans:
- Starter: £35 per month
- Professional: £59 per month
- Complete: £95 per month
Plan features and limits are detailed on our website. We reserve the right to modify pricing with 30 days' notice to existing subscribers.
6. Payment Terms
- Subscriptions are billed monthly in advance
- You may cancel your subscription at any time
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial months
- We reserve the right to suspend accounts with overdue payments after 14 days
7. Your Responsibilities
When using the Service, you agree to:
- Keep your login credentials secure and not share them with others
- Not upload resident health records or personal medical data (Warden is a staff communication tool, not a clinical records system)
- Not share magic login links with unauthorised individuals
- Ensure all content uploaded is lawful, work-related, and appropriate
- Comply with all applicable laws and regulations, including UK data protection legislation
- Not attempt to access another user's account or data
- Not use the Service for any purpose other than its intended use
8. Our Responsibilities
We commit to:
- Maintaining reasonable service uptime (target 99.5% availability, measured monthly)
- Keeping your data secure as described in our Privacy Policy
- Providing email support and responding within 48 hours on business days
- Giving reasonable notice of planned maintenance
- Notifying you promptly of any data breach that may affect your account
9. Data and Content
- You retain full ownership of all content you upload (notices, staff information, documents)
- We process your content on your behalf in our role as a data processor
- We will not access your content except as necessary to provide the Service or as required by law
- On account deletion, your data will be exported to you or destroyed within 30 days, subject to legal retention requirements (see our Privacy Policy for retention periods)
10. Intellectual Property
Zelicra owns all intellectual property rights in the Warden platform, including its software, design, branding, and documentation. You own all content you create and upload through the Service. These Terms do not transfer any intellectual property rights between the parties.
11. Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. To the fullest extent permitted by law:
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any loss resulting from unauthorised access to your account caused by your failure to keep credentials secure
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Termination
- Either party may terminate this agreement with 30 days' written notice
- We may terminate immediately if you breach these Terms
- On termination, your access to the Service will be revoked
- We will retain your data for the period specified in our Privacy Policy to comply with legal obligations
- You may request an export of your data before your account is closed
13. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
